Contract Agreement

1. When this applies

This Contract Agreement applies when you subscribe to an accountant plan (Starter, Growth, Practice, Scale or Enterprise). The Solo plan is month-to-month and is not covered by this agreement — you can cancel Solo at any time from your billing page. This agreement is part of, and read together with, our Terms of Service and Privacy Policy.

2. Minimum term and renewal

Accountant plans are a 12-month agreement. Your commitment runs for 12 months from the start of your subscription. At the end of the term it renews automatically for a further 12-month term unless cancellation has been agreed before the term ends (see below).

3. Billing

• You can pay monthly (an instalment of the annual commitment) or annually upfront. Either way you are committing for the full 12-month term.
• All fees are as shown on the pricing page at the time you subscribe.
• All prices exclude VAT; UK VAT is added at checkout and itemised on your invoice.
• Payment is taken by our payment provider (Stripe). Failed payments may lead to suspension of the service.

4. Client limits and extra seats

Each plan covers a maximum number of managed clients (for example up to 10 on Starter, up to 25 on Growth). You can upgrade to a larger plan at any time; the change is prorated and takes effect immediately. Additional desktop seats can be added on any plan for the published per-seat fee.

5. Final Declaration fees

Final Declarations are billed per filing at the rate for your plan, in addition to your subscription. You are only charged for Final Declarations you actually submit to HMRC.

6. Changing plans

Upgrades to a larger plan are available at any time and are prorated. Downgrades to a smaller plan are arranged by request rather than instantly, so that any difference for the committed term can be settled. Request a downgrade from your billing page or by contacting us.

7. Cancellation

Because an accountant plan is a 12-month commitment, it is not cancelled by simply switching it off. To cancel, submit a cancellation request from your billing page. We will confirm the position for the remainder of your committed term and agree a final settlement, after which the subscription is closed. You remain billed until cancellation is actioned. This does not affect your statutory rights or any right to cancel for our material breach.

8. Ending for cause

We may suspend or end the agreement if fees remain unpaid or if you breach our Terms of Service. On termination your licence ends; the tax records held on your device remain yours and can be exported at any time.

9. Enterprise

Enterprise plans (150+ clients) are agreed individually and may have bespoke commercial terms set out in a separate order or statement of work, which takes precedence over the standard figures where they differ.
